1. Acceptance of Terms

By accessing or using Alpha Suite (the "Service"), available at alpha-suite.org, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

Alpha Suite is a quantitative research and educational analytics platform. The Service aggregates data from public sources — including SEC EDGAR filings, market data providers, and publicly available financial information — runs that data through systematic models, and presents the resulting research outputs through a web-based dashboard for informational and educational use.

Alpha Suite is not a registered investment adviser (Investment Advisers Act of 1940 or any state-level equivalent), not a broker-dealer registered with the SEC or FINRA, not a Commodity Trading Advisor or Commodity Pool Operator registered with the CFTC, and not a financial planner. All research outputs, scores, analysis, illustrative entry/target/protective levels, and any other information provided through the Service are for informational and educational purposes only and do not constitute investment advice, an offer or solicitation, or a recommendation to buy or sell any security.

You should consult a qualified financial advisor before making any investment decisions. Alpha Suite does not know your financial situation, risk tolerance, or investment objectives and cannot provide personalized advice. No fiduciary relationship is created by your use of the Service.

4. Risk Disclosure

Investing in securities involves substantial risk of loss, including the potential loss of your entire investment. Past performance and research scores do not guarantee future returns. Specifically:

4.1 Paper-tracking is a simulation

"Paper-track this signal" opens a simulated position in our database. There is no broker connection, no order placed, no capital at risk. Paper outcomes can and will diverge from outcomes in a real brokerage account due to slippage, commissions, liquidity, stop-fill behaviour, and corporate actions. Treat paper performance as model performance, not a forecast of your account.

5. Accounts and Subscriptions

5.1 Account Registration

To access certain features, you must create an account with a valid email address and password. You are responsible for maintaining the security of your account credentials and for all activity under your account.

5.2 Subscription Tiers

The Service offers multiple subscription tiers (Recon, Alpha Desk, Institutional) with different levels of access, plus a stackable slot-pack add-on. Paid subscriptions are billed monthly through our payment processor (FastSpring, acting as merchant of record). By subscribing, you authorize recurring charges at the applicable rate. Tier benefits and pricing may be modified with notice; price changes apply only to renewal periods.

5.3 Cancellation, refunds, and downgrades

You may cancel your subscription at any time through the customer portal accessible from your account page. Cancellation takes effect at the end of the current billing period; you keep paid access until then.

First-time paid subscriptions are eligible for a 7-day money-back refund as set out in the Refund Policy. Outside the 7-day window, refunds are at our sole discretion. Slot-pack add-ons and renewal charges are not refundable but can be cancelled at any time.

Tier downgrades take effect at the end of the current billing period. Open paper-tracked positions in excess of the new tier's slot cap remain monitored to natural exit; you cannot open new positions until you are back under the cap.

5.4 Free Tier

The free "Recon" tier provides limited access to research outputs with a time delay and does not include paper-position tracking. Alpha Suite reserves the right to modify the features available in the free tier at any time.

5.5 Account eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into a contract to create an account. Accounts opened by or on behalf of minors will be terminated.

5.6 Account suspension and termination

We may suspend or terminate your account, with or without notice, if we reasonably believe you have:

6. Data Sources and Accuracy

Alpha Suite aggregates data from public sources including SEC EDGAR, market data APIs, and other publicly available financial data. While we strive for accuracy, we do not guarantee that any data, research output, or analysis is complete, accurate, or timely. Data may be delayed, incomplete, or contain errors from upstream sources beyond our control.

All algorithms, strategies, scoring methodologies, and content provided through the Service are the intellectual property of Alpha Suite. Your subscription grants you a personal, non-transferable license to use the Service for your own trading and research purposes.

9. API Access

API access is available to eligible subscription tiers. API keys are personal and non-transferable. Alpha Suite reserves the right to revoke API access for abuse or violation of these Terms. Rate limits apply as documented.

10. Limitation of Liability

To the maximum extent permitted by law, Alpha Suite and its operators, officers, employees, and contractors shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to your use of the Service, including but not limited to trading losses, lost profits, lost data, or damages resulting from reliance on any signal, score, model output, or analysis provided by the Service — even if we have been advised of the possibility of such damages.

Where liability cannot be excluded as a matter of law, our total aggregate liability to you for all claims arising from or relating to the Service in any 12-month period is limited to the greater of (a) the amount of subscription fees you paid us in the 12 months preceding the event giving rise to the claim, or (b) USD $100. Multiple claims do not enlarge this cap.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages; in those jurisdictions our liability is limited to the maximum extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Alpha Suite, its operators, officers, employees, and contractors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to (a) your use of the Service, (b) your violation of these Terms or any policy incorporated by reference, (c) your violation of applicable law or any third-party right, or (d) any trading decision you make in your own brokerage account.

12. Service Availability and Force Majeure

We aim to provide continuous service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable for scheduled maintenance, software updates, or due to circumstances beyond our reasonable control, including without limitation: third-party data-source outages (SEC EDGAR, market data providers, options-flow vendors), payment-processor incidents, infrastructure-provider incidents, internet-backbone disruptions, denial-of-service attacks, regulatory action, natural disasters, pandemics, war, civil unrest, labour disputes, and other force-majeure events. We are not liable for any delay or failure in performance caused by such events.

13. Tax

You are responsible for any taxes, duties, or governmental charges applicable to your trading activity in your own brokerage account, including capital gains tax, wash-sale-rule adjustments, and reporting obligations. Sales tax, VAT, or GST on your subscription is collected and remitted by our payment processor (FastSpring, acting as merchant of record) where applicable. Alpha Suite does not provide tax advice.

14. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via the Service or by email at least 30 days before they take effect, except where a shorter period is required by law (for example, to comply with new regulatory requirements). Continued use of the Service after a change becomes effective constitutes acceptance of the revised Terms. If you do not accept a change, your remedy is to stop using the Service before it takes effect.

15. Governing Law and Dispute Resolution

15.1 Governing law

These Terms and any dispute arising from or relating to them or your use of the Service are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15.2 Informal dispute resolution

Before initiating any formal proceeding, you agree to first contact us at [email protected] with a written notice describing the dispute, the relief sought, and your contact details. We will attempt to resolve the dispute informally within 60 days of receipt.

15.3 Binding arbitration

If informal resolution fails, any dispute arising from or relating to these Terms or the Service shall be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The seat of arbitration is Wilmington, Delaware. The arbitration shall be conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.

Either party may bring an individual claim for amounts under USD $10,000 in small-claims court instead of arbitration. Either party may also seek injunctive relief in court for intellectual-property infringement or unauthorised access to the Service.

15.4 Class-action waiver

You and Alpha Suite agree that any dispute will be resolved on an individual basis. Class arbitrations, class actions, private-attorney-general actions, and consolidation with other arbitrations are not allowed. If a court rules that this class-action waiver is unenforceable, the entire arbitration provision is null and void as to that dispute, and the dispute will proceed in court (subject to § 15.1).

15.5 Opt-out of arbitration

You may opt out of the arbitration agreement and class-action waiver by emailing [email protected] within 30 days of first accepting these Terms with the subject line Arbitration opt-out — [your account email]. Opting out does not affect any other provision of these Terms.

16. General

16.1 Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full effect and the invalid provision is reformed only to the extent necessary to make it enforceable.

16.2 No waiver

Our failure to enforce any provision is not a waiver of the right to enforce it later or to enforce any other provision.

16.3 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, or by operation of law.

16.4 Entire agreement

These Terms, together with the Privacy Policy, Risk Disclosure, Refund Policy, and Data Rights page, constitute the entire agreement between you and Alpha Suite regarding the Service and supersede any prior or contemporaneous agreement on the same subject matter.

16.5 No third-party beneficiaries

Except for our affiliates and operators, who are intended beneficiaries of the limitation-of-liability and indemnification provisions, these Terms do not create any third-party beneficiary rights.
